AbbVie to Acquire Apogee Therapeutics in $10 Billion Deal

AbbVie entered into an agreement to acquire Apogee Therapeutics at a price of $135.11 for each outstanding. The deal is expected to be worth about $10.9 billion and will add Apogee’s entire pipeline into AbbVie’s.

According to a press release from AbbVie, the acquisition will bolster its existing immunology portfolio and improve its clinical presence in respiratory care. According to the release, the deal is expected to close during the third quarter of 2026. While the boards of both companies have approved the sale, shareholders must still vote.

In the press release, AbbVie’s chairman and chief executive officer Robert A. Michael said, “For more than two decades, AbbVie has led and shaped the field of immunology bringing the science, scale and expertise needed to address some of the most complex diseases. The acquisition of Apogee further builds on our existing leadership, strengthening our ability to deliver innovative medicines to patients who need better options while also creating significant long-term value for shareholders. Apogee's pipeline adds highly differentiated clinical-stage assets, further expanding our robust immunology portfolio in areas of significant patient need, including atopic dermatitis and asthma. With our deep scientific expertise and proven capabilities, we are uniquely positioned to rapidly advance these programs and continue to transform the standard of care in inflammatory diseases."

The following drugs will be added to AbbVie’s pipeline:

  • Zumilokibart
  • APG273 (a combination of zumilokibart and APG333)
  • APG333

In the same release, Michael Henderson, MD, chief executive officer at Apogee, added, “This transaction reflects the strength of Apogee's vision, our team's dedication and the significant progress we've made advancing zumilokibart and our differentiated pipeline. Since our founding, we've focused on developing transformative therapies for patients with inflammatory diseases while creating value for shareholders. This transaction delivers substantial shareholder value and positions our programs to reach their full potential. We believe AbbVie can advance zumilokibart and our portfolio while expanding their impact for patients worldwide."

This AbbVie’s latest acquisition this year. However, previous acquisitions were focused on expanding the company’s domestic manufacturing presence, as opposed to the Apogee deal (which focuses on expanding the company’s pipeline).

In January, AbbVie announced plans to acquire a device manufacturing facility from West Pharmaceutical services. Located in Tempe, Arizona, the facility cost AbbVie $175 million and will be used to expand the company’s drug delivery device manufacturing capabilities.

In a press release issued at the time, AbbVie’s CEO Robert A. Michael said, “This milestone demonstrates further progress against our $100 billion commitment to U.S. R&D and capital investments over the next decade. By strengthening our U.S. manufacturing capabilities, we are well-positioned to support our investment in innovation and enhance our ability to deliver next-generation medicines to patients."

This acquisition was part of AbbVie’s initiative to invest over $10 billion in domestic manufacturing. In February, the company also announced plans to invest $380 million to expand its active pharmaceutical ingredient manufacturing presence in north Chicago.

In a press release, Michael said, “Over the next decade, AbbVie is investing more than $10 billion in capital to broadly support innovation and expand our manufacturing capabilities and capacity in the U.S. With this investment, AbbVie is strengthening our manufacturing capabilities, ensuring we are well-positioned to develop and deliver next-generation medicines that make a remarkable impact on patients' lives."
