Hansoh Pharma Enters $15 Billion Collaboration and License Agreement with Roche
Hansoh Pharma enters a collaboration and license agreement with Roche covering a broad portfolio of antibody-drug conjugate programs.
Hansoh Pharmaceutical Group Co., Ltd. announced it has entered into a strategic collaboration and license agreement with Roche covering a broad portfolio of antibody-drug conjugate programs.
Under the terms of the deal, Hansoh is set to receive an upfront payment of $400 million and a first anniversary payment of $110 million, along with eligibility to receive potentially more than $15 billion in milestone payments tied to development, regulatory approval, and commercialization of the programs, and tiered royalties on future product sales.1
The agreement marks the second collaboration between the two companies in the ADC field, building on a partnership the companies announced last year covering a colorectal cancer treatment.2
What does the collaboration cover?
The partnership spans two preclinical Hansoh ADC programs along with multiple additional ADC programs based on targets proposed by Roche and powered by Hansoh’s proprietary ADC technology platform.1 Hansoh will lead early development of the programs through completion of global Phase Ia clinical trials. From there, Roche will take over development worldwide, with the exception of mainland China, Hong Kong, Macau, and Taiwan, where Hansoh will retain all rights to develop, register and commercialize the programs.1
As part of the deal, Hansoh will also hold an option to select up to two programs and contribute to their development outside mainland China, Hong Kong, Macau, and Taiwan.1 In exchange for that contribution, the company is set to become eligible for incremental upside tied to commercialization of those two programs in the U.S.
How does this build on the companies’ prior partnership?
The new agreement follows a deal the two companies struck in October 2025 covering a colorectal cancer treatment, a transaction reported at the time to be worth as much as $1.45 billion.2 That earlier collaboration established the working relationship the companies are now expanding into a second and considerably larger ADC agreement, reflecting what both sides describe as a deepening technical and commercial partnership in oncology.2
Hansoh executives frame the current agreement as a continuation of strategy rather than a new direction. “Building on the ADC partnership we announced last year, we are delighted to further strengthen our collaboration with Roche,” says Eliza Sun, executive director of the board, Hansoh Pharma. “This new agreement reflects our shared commitment to advancing ADC innovation and underscores our strategy of leveraging our deep expertise to accelerate the development of transformative therapies for cancer patients globally.”
Roche points to the deal as part of a broader bet on next-generation ADC science. “Expanding our strategic collaboration with Hansoh marks an important step in advancing our ADC vision,” says Boris L. Zaïtra, head of corporate business development at Roche. “Exploring next generation ADCs is one of the most compelling frontiers in oncology today, offering the opportunity to address critical unmet needs and accelerate potential therapies for patients worldwide.”
