Johnson & Johnson to acquire Sail Biomedicines
Johnson & Johnson announced strategic agreements and a collaboration with Sail Biomedicines a biotechnology company developing in vivo CAR-T therapies for immune-mediated diseases. Under the terms of the agreements, Johnson & Johnson is set to make total initial payments of $785 million, including a $465 million equity investment, plus additional contingent payments of $140 million if certain development milestones are achieved.1 Johnson & Johnson has also been granted an exclusive option to acquire Sail for a total of $2.58 billion.1 Assuming exercise of the option, Johnson & Johnson expects the agreements to dilute adjusted operational earnings per share and adjusted earnings per share by approximately $0.18 in 2026 and around $1.28 in 2027.1
As part of the deal, Johnson & Johnson will collaborate with Sail to advance its lead immune-mediated disease program and broader platform technology, with incentives to expand the application of Sail's in vivo CAR-T platform across additional therapeutic targets over time.1 Unlike traditional cell therapies, Sail's lead program and platform are designed to reprogram a patient's immune cells directly within the body, with the goal of resetting the immune system and delivering durable disease control.

Processa acquires Vidya Therapeutics
Processa Pharmaceuticals, Inc. announced the acquisition of Vidya Therapeutics, Inc. (Vidya), a clinical-stage biotechnology company developing VT-7208, a Bruton's tyrosine kinase (BTK) inhibitor therapy for immune-mediated diseases, with an initial focus on potentially best-in-class BTK inhibition in food allergy, chronic spontaneous urticaria, and relapsing multiple sclerosis.2
Concurrent with the acquisition, Processa entered into a definitive agreement for a private placement financing, which is expected to result in gross proceeds of approximately $200 million, before deducting placement agent and other offering expenses, from a syndicate of new and existing investors including Bain Capital Life Sciences, Janus Henderson Investors, RA Capital Management, SilverArc Capital, ADAR1 Capital Management, Cormorant Asset Management, Integral Health Asset Management, Marshall Wace, Octagon Capital, Soleus Capital, a large mutual fund, and other institutional investors.2
Processa expects to use the proceeds to advance VT-7208, a next-generation, CNS-penetrant, covalent BTK inhibitor designed to achieve potent, highly selective, and durable BTK inhibition, through multiple clinical milestones, including data from a Phase II proof-of-concept study in food allergy anticipated in the second half of 2027, data from a Phase II proof-of-concept study in chronic spontaneous urticaria anticipated in the first half of 2028, and data from a Phase II proof-of-concept study in relapsing multiple sclerosis anticipated in the second half of 2028.2 The company's cash and cash equivalents at closing, including gross proceeds expected from the concurrent private placement financing, are expected to fund operations into the second half of 2029.

Relation partners with GSK
Relation has entered into a strategic research collaboration with GSK, focusing on generating large-scale human cellular perturbation data and deploying it into models, including Multi-Omic Regulatory Genomics using Artificial Neural Networks, (MORGAN), Relation's cellular biology foundation model, to deepen understanding of disease biology and support the discovery of potential new therapeutic targets.3 Under the terms of the agreement, Relation is expected to receive upwards of $110 million in both upfront and success-based milestone payments.3
The collaboration is expected to create high-quality perturbation datasets that capture how human cells respond to genetic and pharmacological interventions and is set to provide new insights into disease biology and support future target discovery efforts.3 Integrated automation will facilitate the generation of time-resolved perturbation data with multi-omics readouts at significant scale and consistency, with the resulting data asset used to train foundation models, including MORGAN.3
